This is an agreement between you (the person or legal entity referred to as “you”, “your”, “the artist”) and We Furry Limited (referred to as “Impersonate Me”, “us”, “we” or “our”). You agree that you have read our terms of service, privacy policy and refund policies. You are aware that we may collect and use your information as expressed within our privacy policy and terms of use.
This agreement covers all images, products, content, photographs, digital images, digital assets created and/or submitted by you. By means of this agreement, you grant us, our websites, our partners, third party affiliates, our retail partners, non-exclusive licence, with the right, to produce, sell, distribute, display in any way, advertise with on third party websites, modify, reproduce, modify, promote and advertise your images, products, content, photographs, digital images, digital assets. You agree that you take complete responsibly for your images, content, products, photographs, digital images, products, digital assets and have obtained all necessary intellectual property and any other rights to it, including but not limited to, the right to sell products with the works, distribute the images, content, products, photographs, digital images, products, digital assets
By agreeing to this agreement you agree that:
a) Images, content, photographs, digital images, products, digital assets created and/or submitted by you do not contain any material that is defamatory, false, unlawful, inaccurate or spread offensive information. If information you provided to us later becomes defamatory, false, unlawful, inaccurate you agree to notify us immediately.
b) Images, content, photographs, digital images, products, digital assets created and/or submitted by you do not contain any material that infringes on anyones rights, including but not limited to their rights to privacy, trademarks and patents. You agree that your Images, content, photographs, digital images, products, digital assets do not infringe on any patents
c) All intellectual property within your Images, content, photographs, products, digital images, products, digital assets has been created by you. You also agree that you have obtained all necessary copyrights, trademark rights, rights to distribute and all other rights for your Images, content, photographs, digital images, products, digital assets to sell products, manufacture products and distribute products.
d) You and us are each responsible for our own Sales Tax, GST, VAT and other transactional taxes in connection with any services provided under this agreement. We recommend speaking to a tax advisor for more information. You are solely reliable for collecting and remitting taxes that arise from sales of your products.
d) Impersonate Me is acting only as an independent contractor under your instruction to provide marketplace services. Impersonate Me take a fee for hosting the marketplace and facilitating the transaction. Your percentage will be agreed with you and you will be able to decide what fee to charge. You may notify us to change prices at any time via email and we will do so within 30 days, normally much sooner. The artist percentage will be calculated after taxes, transaction fees and discounts.
e) We may remove listings at any time for any reason.
f) If you would like us to stop selling or distributing your images, content, products, photographs, digital images, products, digital assets we will have 45 days to remove any mentioned content from the locations you wish for us to stop selling, promoting, displaying and distributing it from.
g) You are responsible for checking these terms at https://impersonateme.com/pages/artist-licensing-agreement as we may periodically update them. By not requesting that we stop offering marketplace services, you agree that you are agreeing to the changes.
h) You agree to indemnify Impersonate Me against all costs, claims, damages, debts that arise from this agreement for any reason whatsoever.
This agreement does not create any kind of employment relationship between parties except that of an independent contractor.
Dispute resolution
Both parties agree that any disputes, law suits or conflicts arising out of this agreement must be brought exclusively in London, England. Each party accepts the sole personal jurisdiction of the London, England courts.
